SCOPE OF WORK
An Agricultural Energy Management Plan “AgEMP” shall be developed by David Ryan PE, a certified Technical Service Provider (TSP) and shall address the energy natural resource concerns on the entire farm operating enterprise where the resource concern is identified. TSP will provide an AgEMP for the ______________________________________________ facility (“facility”). The AgEMP will be comprised of an ASABE Level 2 audit and will satisfy the requirements of the Natural Resources Conservation Service Environmental Quality Incentives Program. TSP will identify potential energy saving opportunities in the facility. These opportunities will be reported to ____________________________________________ (“Client”).
DELIVERABLES: An energy audit report will be prepared for the Client. The audit report will contain evaluation of energy conservation measures (ECM’s) for the facility. Energy and electric demand savings will be estimated for each ECM. Cost will be estimated for each ECM. ECM’s will be ranked in order from shortest estimated payback to longest. This agreement shall cover the production of an Agricultural Energy Management Plan for a (Size and Number of Enterprises)

PAYMENT
The total cost of the audit shall be $___________. Payment will be due to Balance Engineering LLC upon receipt of notice from the Natural Resources Conservation Service acceptance of the report and release of payment to the Client. Any invoiced amount over 30 days past due will be charged 1.5% interest monthly.
LIMIT OF LIABILITY
To the maximum extent permitted by law, the Client agrees to limit the Contractor’s liability for the Client’s damages to the Contractor’s fee. This limitation shall apply regardless of the cause of action or legal theory pled or asserted.
